The Governance and Nominating Committee (GNC) oversees the Appointments and Reappointments Policy on behalf of Seneca Polytechnic’s Board of Governors.

Purpose
Scope
Seneca is committed to the values of equity, diversity and inclusivity in all aspects of its operations and activities. This commitment and policy apply to all members of the Board of Governors.
Key definitions
Appointed Governors
As defined in By-Law #1, External governors who are individuals appointed by the Lieutenant Governor in Council (LGIC) or individuals who are appointed by the members of the Board holding office at the time of the appointment. Internal representatives serving on the Board – student, support staff, faculty and administrator – and the President are not appointed governors.
Policy
1. The GNC
- The GNC is responsible for ensuring that the process of appointment and reappointment of Governors is carried out according to Board policy.
- The GNC reviews the appointment and reappointment processes and procedures on an annual basis.
- The GNC works with the Corporate Secretary on the development of the required documentation and processes and brings these to the Board for approval and annual revisions.
- Through the appointment and reappointment process, the GNC identifies and recommends candidates for appointment and reappointment to the Board.
- The LGIC will appoint no fewer than one-third of the external Governors of the Board with the remainder appointed by the Board of Governors.
2. New appointments
- The Board is committed to Seneca's values of equity, diversity and inclusivity. The GNC will strive to ensure that the membership of the Board reflects these values and is representative of the community it serves.
- Based on its needs, the Board will seek out qualified candidates who may play a role or have an interest in Seneca’s ongoing success.
- Candidates will declare any real or perceived conflicts of interest associated with their candidacy in accordance with the Conflict of Interest Minister's Binding Policy Directive for Colleges of Applied Arts and Technology, 2023.
- The GNC shall evaluate the selected candidate(s) and provide a recommendation to the Board for the final approval of any candidate. All records shall be kept confidential with the Corporate Secretary.
- An individual who is appointed must consent in writing to hold office as a Governor for the appointment to be valid.
3. Reappointments
- The GNC, with the assistance of the Corporate Secretary, identifies Appointed Governors whose term is up for reappointment.
- Prior to the expiry of an Appointed Governor’s first term, the Board Chair will ask for interest in reappointment for an additional three-year term.
- Where the Board Chair’s term is also to expire, the GNC will assign this duty to a Vice-Chair whose term has one year or more before expiry.
- The GNC shall evaluate the request for reappointment and provide a recommendation to the Board for the final approval of the reappointment.
- Governors recommended to a second three-year term and considered for appointment by the LGIC for that term will be forwarded to the Public Appointments Secretariat at the Ministry of Colleges and Universities.
